Terms and Conditions of Sale

- The contract. The accepted quotation and these terms are the whole agreement between Vidarbha Agro Chemicals Company ("we") and the customer ("you"). Your purchase order, letters or own terms do not apply, even if we receive or sign them.
- Order and confirmation. Accepting a quotation raises the order. It becomes binding on us only when the first payment step is received in our account. Until then we may revise or withdraw the quotation.
- Prices. Prices are in Indian Rupees and hold only if the first payment reaches us within the quotation's validity. After that we may revise them, for example for changes in steel or motor prices. GST and any other tax or levy are charged at the rate in force on the invoice date, and any increase is yours to bear.
- Payment. You pay each step on time as set out in the quotation, as a percentage of the total including GST. Payments once credited are non-refundable. We do not provide any bank guarantee. Overdue amounts carry interest at 18% a year from the due date until paid.
- Holding work until paid. If any amount is overdue, we may stop work, hold dispatch, installation and warranty service, and move the delivery date, without any liability to you.
- Delivery time. Completion times (for example 50 to 60 days) are our best estimate, counted from confirmation with payment. They are not guaranteed. A delay gives you no right to cancel, to withhold payment, or to claim any penalty or compensation. Times extend automatically for any delay in your payments, approvals, site readiness or information, and for events in clause 17.
- Ready for dispatch. When the machines are ready, we tell you on the portal or by email. The payment due before dispatch must reach us within 7 days of that notice. If you do not take dispatch within 15 days of the notice, the balance falls due anyway, and we may charge storage of 0.5% of the order value per week. Machines unpaid 90 days after the notice may be sold by us; payments already received are kept towards our costs and loss.
- Transport and your scope. We do not transport the machines. You arrange and pay for transport from our factory at Akola, including the vehicle, loading permits and transit insurance, unless the quotation expressly says that transport is included. Unless the quotation says otherwise, you also arrange, at your cost: all civil and foundation work as per our drawing, a crane for lifting drums and heavy machines, electrical connections, cables and fittings, safe access, and site safety. You are responsible for any accident, injury or damage at the site not caused by our own negligence.
- Installation. Installation of machines is included only where the quotation says so. You provide power, water, operators, helpers, lodging for our team if the site is outside Akola, and raw material for trial runs. Commissioning is complete when the plant runs a trial batch; a later shortfall in raw material or operation does not reopen it.
- Design. We may change the design, set-up or brand of bought-out items to equal or better specification, without notice. All drawings, designs and know-how remain our property and may not be copied, shared or used to make any machine.
- Output. Capacity is stated on the basis in the quotation (for example 100 TPD on 22 hours). Production may vary by plus or minus 10 to 15 percent depending on the base weight, moisture and type of material. Output depends on your raw material and operation, and we give no other guarantee of output, granule size or quality.
- Ownership. The machines remain our property until every amount under the order, including interest and charges, is paid. Until then you hold them for us and may not sell, mortgage or move them.
- Risk. Risk of loss or damage passes to you when the machines leave our factory premises at Akola, or on the date clause 7 makes the balance due, whichever comes first. Insurance in transit and at site is your responsibility.
- Warranty. Fabrication defects are covered for one year from the date of our invoice. We decide whether to repair or replace; replaced parts become our property. The warranty applies only while all payments are up to date. Motors, gearboxes and other bought-out items carry only their makers' warranty (for example CG, Havells, Radicon, Premium, Bonfiglioli), handled through the maker. The warranty does not cover wear parts (belts, liners, screens, bearings, chains, sprockets, beaters, nozzles), misuse, overloading, wrong raw material, power fluctuation, lack of maintenance, accidents, or any repair or change made without our written approval. The warranty can be extended for the whole plant, one year at a time, only against a paid quotation.
- Complaints. Report a defect on the portal, choosing the machine and attaching at least one photo. We aim to call you within 48 hours. A complaint is closed when you confirm the fix, or 7 days after we mark it resolved with no reply. Visits for problems that turn out not to be covered by the warranty are charged, including travel.
- Spare parts and AMC. Spare parts are always charged, inside or outside warranty. An Annual Maintenance Contract is available only against its own paid quotation.
- Events outside our control. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, strikes, government orders, power cuts, or shortage of steel, motors, labour or transport.
- Limit of liability. Our only obligation for a defect is the repair or replacement in clause 14. We are never liable for indirect or consequential loss, including loss of production, raw material, profit, business or goodwill. Our total liability under an order, whatever the cause, will not exceed the amount you have paid us for that order.
- Cancellation. You cannot cancel a confirmed order without our written consent. If you cancel, or we end the order because you do not pay, all payments received are kept, and you also pay the value of work done and material bought beyond those payments.
- Photos of your plant. We may photograph the installed plant and use the photos to show our work, without naming you unless you agree.
- Notices. Messages on the portal and emails to the addresses registered with us count as written notice to you on the day they are sent.
- Changes to these terms. We may update these terms for future orders. Each order stays under the version accepted with it.
- Law and courts. These terms are governed by the laws of India. Subject to what follows, courts at Akola, Maharashtra alone have jurisdiction over any dispute. Any claim for delayed payment under the Micro, Small and Medium Enterprises Development Act, 2006 may be referred to the Micro and Small Enterprises Facilitation Council at Amravati, and courts at Amravati, Maharashtra have jurisdiction over such claims.
